Job Description

Key Responsibilities
1. Commercial Legal & Contract Support

• R eview, draft, and negotiate commercial contracts, including indirect procurement agreements, HCP engagement agreements, clinical study-related contracts, data sharing arrangements, and other business agreements.
• Provide practical legal advice to commercial and cross-functional teams in connection with business initiatives, customer-facing arrangements, marketing activities, and operational projects.
• Support review and revision of contract templates, official letters, internal forms, and business-facing legal documents to ensure consistency with company standards and applicable legal requirements.
• Assist in reviewing and improving system sales contract terms and conditions, where required, in alignment with broader legal risk management strategy.

2. Regulatory Compliance & Internal Policy Management

• Monitor relevant Korean legal and regulatory developments, including areas relating to HCP compliance, privacy, anti-competition, and commercial operations.
• Periodically update and revise internal policies, procedures, and operational guidance, including HCP compliance policies and anti-competition-related policies consistent with global compliance and legal guidance.
• Support the implementation of internal compliance frameworks and provide guidance to business teams on compliant execution of commercial initiatives.
• Help identify, assess, and escalate legal and compliance risks arising from commercial activities, customer interactions, and cross-functional projects.

3. HCP Compliance & Healthcare Regulatory Support

• Advise commercial teams on HCP-related compliance matters, including engagement structures, expense-related issues, promotional activities, sunshine reporting, and policy interpretation.
• Review HCP engagement proposals, marketing proposals, and commercial projects to ensure alignment with applicable laws, industry codes, and internal compliance standards.
• Support compliance governance relating to HCP interactions, including collaboration with relevant operational owners responsible for reporting, monitoring, and system-based approvals.
• In collaboration with Director of APAC Legal and Compliance, develop and conduct live training and education on applicable laws, rules, and regulations, the Code of Conduct, and relevant policies and procedures, including those involving HCP interactions, dealings with government officials, and anti-corruption matters.

4. Marketing, Promotional & Business Initiative Review

• Review marketing and promotional materials, commercial proposals, customer-facing communications, and related disclaimers to ensure legal and compliance alignment, including on-label promotion.
• Provide timely, business-oriented legal guidance to enable compliant execution of promotional and commercial activities.
• Work closely with business stakeholders to identify potential legal, privacy, HCP compliance, and competition-law risks in proposed activities.

5. External Engagement & Industry Code Monitoring

• Engage with industry associations, including KMDIA, to monitor legal, regulatory, and ethics-code developments relevant to the company’s commercial and compliance activities.
• Support policy monitoring and advocacy-related activities by tracking developments in industry standards, ethics codes, privacy laws, and healthcare compliance expectations.

Qualifications

Qualifications

• Licensed attorney or equivalent legal qualification preferred.
• Minimum 7-10 years of legal and compliance experience.
• Significant experience in commercial legal, healthcare compliance, privacy, regulatory compliance, or corporate legal roles.
• Experience advising commercial teams in healthcare, medical device, pharmaceutical, life sciences, or another regulated industry preferred.
• Strong understanding of Korean legal and regulatory requirements relevant to HCP interactions, privacy, fair competition, commercial contracting, and promotional activities.
• Experience reviewing and negotiating commercial contracts, including service agreements, procurement contracts, clinical or research-related agreements, HCP engagement documents, and data-related terms.
• Ability to translate legal requirements into practical, business-oriented guidance.
• Strong stakeholder management skills and ability to work with local, regional, and global teams.
• Excellent written and verbal communication skills in Korean and English.
• Experience working for a multination company a plus
